SERVICE

By accessing or using any part of the ShiftClicks platform, you agree to be bound by these Terms of Service. These Terms apply to all visitors, users, partners, and others who access our high-fidelity traffic services.

ShiftClicks maintains strict traffic quality standards. You agree not to:

• Send fraudulent, deceptive, or misleading traffic.
• Use bots, scripts, or automated tools to generate artificial clicks.
• Violate any applicable federal, state, or local laws or regulations.
• Attempt to reverse-engineer our proprietary routing logic.

All partners are required to deliver only human, non-incentivized traffic. We employ automated fraud detection on all traffic entering the network. Any traffic determined to be fraudulent will result in forfeiture of associated earnings and immediate network expulsion.

Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. To the fullest extent permitted by law, ShiftClick Media LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or loss of data — arising out of or relating to your use of the ShiftClicks platform, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of $100 USD or the amounts you paid to us in the three months preceding the claim.

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice, specifically in cases where traffic integrity markers fall below restricted network standards.

Informal Resolution First. Before filing any formal dispute, you agree to contact us at legal@shiftclicks.com and give us 30 days to attempt an informal resolution.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the ShiftClicks platform shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND SHIFTCLICK MEDIA LLC EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.

Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or other urgent matters.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming.

If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.
